Terms of use
Introduction
These Terms of Use (“Terms”) govern your access to and use of the Advanced Suite ISV solution (“Solution”) provided by Neptune Tech OU (“Provider”) through Microsoft Dynamics 365 Lifecycle Services (LCS). By accessing or using the Solution, you agree to be bound by these Terms.
License Grant
Subject to these Terms, Provider grants you a non-exclusive, non-transferable, limited license to access and use the Solution solely for your internal business purposes within the scope of your Dynamics 365 Finance and Operations environment.
Licensing and Activation
The Solution requires a valid ISV license key for activation.
Licenses are issued at the tenant level and may be used across multiple environments sharing the same tenant ID.
License types include Boolean and Number, with optional expiration dates.
License validation occurs at runtime; invalid licenses will prevent the Solution from operating post server restart.
Delivery and Deployment
The Solution is delivered as a deployable package via LCS.
Deployment must be conducted in accordance with Microsoft’s guidelines for ISV solutions.
Provider recommends deploying the Solution in binary form to protect intellectual property and ensure integrity.
Usage Restrictions
You agree not to:
Reverse engineer, decompile, or disassemble the Solution.
Modify or create derivative works based on the Solution.
Use the Solution to develop competing products.
Share access credentials or license keys with unauthorized users.
Use the Solution in any manner that violates applicable laws or regulations.
Support and Maintenance
Provider offers support services as outlined in the accompanying Service Level Agreement (SLA).
Updates and upgrades to the Solution will be provided in line with Microsoft’s One Version policy.
Critical issues will be addressed promptly, with fixes provided for supported versions as necessary.
Data Privacy and Security
Provider adheres to industry-standard practices to protect your data.
The Solution does not collect or transmit personal data beyond what is necessary for its operation.

Intellectual Property
All rights, title, and interest in and to the Solution, including all intellectual property rights, remain with Provider.

Termination
These Terms remain in effect until terminated by either party.
Provider may terminate your access to the Solution if you breach these Terms.
Upon termination, you must cease all use of the Solution and destroy any copies in your possession.
Limitation of Liability
Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Solution.
Provider’s total liability shall not exceed the amount paid by you for the Solution in the twelve (12) months preceding the claim.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles.
